PROMOTIONAL EVENT RULES

These Promotional Event Rules govern your participation in promotional events made available by the Company through the App and/or the Site.

These Promotional Event Rules describe the main terms and conditions applicable to participation in promotional events, including eligibility requirements, participation mechanics, winner selection rules, prize terms, disqualification grounds, and other conditions related to such promotional events.

Promotional events are conducted by the Company from time to time for promotional, engagement, community, and informational purposes only and do not constitute gambling, betting, exchange, brokerage, dealing, custody, wallet, or other crypto-asset services.

Your participation in any promotional event is governed by these Promotional Event Rules, the Terms of Use, and any event-specific conditions made available by the Company for the relevant promotional event. Please read these Promotional Event Rules carefully before participating in any promotional event.

Reference to the words “we”, “our” or “us” (or equivalent terms) means the Company.

Reference to the words “you” or “your” (or similar words) means the User participating in a promotional event.

Words such as he/she and their derivatives in the text of the document can be applied to either a male person or a female person, depending on the context of the document.

DEFINITIONS

Participant means a User who meets the requirements established by these Promotional Event Rules and any additional conditions of the relevant Event and who has validly joined or entered such Event through the App and/or the Site.

Services means the Company’s informational and tracking services provided to the User through the App and/or the Site, including access to features such as calendars, event tracking, analytics, progress tracking, community functionality, and user-generated content functionality, as available from time to time.

Company means Syndicate Inc s.r.o., Registration No.: 19384157, address: Lohniského 901/7, Hlubočepy, 152 00, Praha 5, Czech Republic, email: [email protected] , website: sndct.app, which provides the Services and may organize Events through the App and/or the Site.

Site means the Company’s website located at: https://sndct.app/ (including any subdomains and related pages).

App means the Company’s mobile application “Syndicate” (sndct.app) made available for download and use on supported mobile devices (as updated from time to time).

Account means the User’s registered profile within the Services created by the User during registration, which is associated with the User’s login credentials (for example, email) and may include profile settings, preferences, and activity history.

Event means any promotional event, campaign, contest, giveaway, prize activity, or other promotional activity made available by the Company through the App and/or the Site, subject to these Promotional Event Rules and any additional conditions established by the Company for the relevant Event.

User is an individual or legal entity to whom the Company provides Services and/or who participates in an Event.

Third Party means a natural or legal person, government agency, institution or body besides the Company or the User.

User’s Consent (hereinafter “Consent”) means a voluntary, specific, informed, and unequivocal expression of will, in which the User using a statement or explicit affirmative action agrees to the condition of these Promotional Event Rules, the Terms of Use, and any additional conditions applicable to a relevant Event.

EVENTS

The Company may make Events available from time to time through the App and/or the Site. Each Event may have its own additional conditions, mechanics, eligibility criteria, participation period, task requirements, selection criteria, and other rules applicable to that specific Event. Such additional conditions form an integral part of these Promotional Event Rules with respect to the relevant Event.

To participate in an Event, the Participant must, at the time of participation and throughout the relevant Event period, meet all of the following requirements, unless otherwise expressly stated by the Company for the relevant Event:
be at least 18 years old;
have a valid Account, if account registration is required for the relevant Event;
accept these Promotional Event Rules, the Terms of Use, and any additional conditions applicable to the relevant Event;
comply with applicable law and not be subject to sanctions, prohibitions, restrictions, or other legal limitations that would make participation in the Event unlawful or restricted;
fulfil any additional eligibility requirements expressly established by the Company for the relevant Event, including requirements relating to jurisdiction, residence, wallet compatibility, completion of specific actions, verification, or technical conditions of participation.

Participation in each Event is voluntary and free of charge. No entry fee, purchase, payment, deposit, or other monetary contribution is required to join or participate in an Event.

The Company may require the Participant to complete one or more actions, tasks, or steps within a specified period in order to join or participate in the relevant Event. Only those actions that are completed in the manner, form, and timeframe specified by the Company for the relevant Event may be recognized for participation purposes.

The Participant must provide accurate, complete, and up-to-date information in connection with participation in an Event and must not use false information, misleading details, another person’s identity, another person’s wallet, multiple Accounts, automated means, bots, scripts, manipulative practices, or any other method that circumvents the rules of the Event or the technical and organizational controls applied by the Company.

The Company may establish, for a particular Event, additional participation requirements and restrictions, including requirements relating to geography, jurisdiction, wallet type, task completion, verification, community standing, technical compatibility, deadlines, and other conditions necessary for the proper conduct of the relevant Event. If the Participant does not meet any such requirement or ceases to meet it during the Event period, the Company may refuse participation or exclude the Participant from the relevant Event.

USER CONSENT

The Participant accepts these Promotional Event Rules by performing any of the following actions:
clicking the “Participate”, “Join Event”, “Enter”, “Confirm”, “Continue”, or a similar button that confirms participation in the relevant Event through the App and/or the Site;
checking the relevant box (checkbox) or using another technical method that confirms acceptance of these Promotional Event Rules, the Terms of Use, and any additional conditions applicable to the relevant Event;
confirming participation through the App and/or the Site interface, including through an electronic form, in-app confirmation, email confirmation, or other technical means available for the relevant Event;
completing the actions, tasks, or steps specified by the Company for the relevant Event after being provided with an opportunity to review these Promotional Event Rules and any additional conditions applicable to such Event;
otherwise joining or participating in the relevant Event through the App and/or the Site after being provided with access to these Promotional Event Rules and any additional conditions applicable to such Event.

Participation in any Event is permitted only subject to the Participant’s acceptance of these Promotional Event Rules, the Terms of Use, and any additional conditions applicable to the relevant Event. If the Participant does not agree to these Promotional Event Rules, the Terms of Use, and any applicable additional conditions, the Participant must not join or participate in the relevant Event.

PRIZES

An Event may provide for one or more prizes determined by the Company for the relevant Event. Participation in an Event is fully free of charge and no entry fee, purchase, payment, deposit, or other monetary contribution is required from the Participant in order to participate in an Event or to become eligible for a prize.

Prizes may include cryptocurrency, tokens, NFTs, in-game and/or in-platform assets, merchandise, and non-financial benefits or privileges, including early access to a product, allowlist access, increased limits, enhanced platform functionality, or other similar benefits, as specified by the Company for the relevant Event.

The exact type, scope, amount, quantity, characteristics, and conditions of receiving the prize shall be determined by the Company and specified in the description and/or additional conditions of the relevant Event.

A Participant acknowledges and agrees that the prize structure may differ from one Event to another, and that not all Events must provide prizes of the same nature, value, or form.

Where the relevant Event provides for cryptocurrency-, token-, NFT-, or wallet-based prizes, the Participant may be required to provide a compatible wallet address and satisfy any technical, verification, legal, compliance, or eligibility requirements established by the Company for the relevant Event.

Where the relevant Event provides for non-financial prizes, digital privileges, access rights, or other non-cash benefits, such prizes shall be granted in the manner, scope, and period determined by the Company for the relevant Event.

The Company shall have the right to replace, modify, substitute, suspend, or cancel a prize or any part of it, including where this is necessary due to technical issues, legal restrictions, compliance requirements, unavailability, abuse, fraud, or other circumstances affecting the administration of the relevant Event or the prize.

The Company shall specify the exact prize set in the description and/or additional conditions of the relevant Event.

EVENT PERIOD

Each Event shall have specific start date and time and specific end date and time, as determined by the Company for the relevant Event. The Company shall specify the applicable time zone for each Event in the description and/or additional conditions of such Event.

A Participant may join and participate in an Event only during the Event period established by the Company for the relevant Event.

Only those actions, tasks, steps, submissions, or other participation-related activities that are completed within the relevant Event period and in accordance with the conditions of the relevant Event shall be taken into account for the purposes of participation in such Event.

Any actions, tasks, steps, submissions, or other participation-related activities completed before the start or after the end of the relevant Event period may not be counted, recognized, or accepted by the Company for the purposes of the relevant Event.

The Company may establish, for a particular Event, additional timing rules, intermediate deadlines, milestone dates, claim periods, verification periods, or other time-related requirements, which shall be specified in the description and/or additional conditions of the relevant Event and shall form an integral part of the rules applicable to such Event.

EVENT MODIFICATION, SUSPENSION, OR CANCELLATION

The Company may modify, suspend, or cancel any Event, in whole or in part, in exceptional circumstances where such action is reasonably necessary for the proper, lawful, secure, and fair conduct of the relevant Event.

Such circumstances may include, in particular, technical failures, bugs, system errors, fraudulent or abusive activity, security incidents, manipulation, errors in the Event description or conditions, legal or regulatory requirements, force majeure events, or any other circumstances that make the conduct of the Event impossible, unlawful, technically compromised, or unfair.

Where reasonably possible, the Company shall inform Participants about such modification, suspension, or cancellation through the App, the Site, or by other means used by the Company for the relevant Event.

Where appropriate and technically or legally possible, the Company may resume the Event, restart the Event, or relaunch the Event with updated conditions, timing, mechanics, or other amended terms determined by the Company for the relevant Event.

The Company shall not be obliged to continue, complete, or finalize an Event in its original form where circumstances arise that materially affect the integrity, legality, technical functioning, or fairness of such Event.

RESPONSIBILITY

The Participant shall act honestly, lawfully, and in compliance with these Promotional Event Rules, the Terms of Use, and any additional conditions applicable to the relevant Event.

The Participant is solely responsible for ensuring that all information, data, wallet details, submissions, actions, and other materials provided or used in connection with an Event are accurate, complete, up to date, lawfully used, and do not infringe the rights of any Third Party or violate any applicable law.

The Participant must not engage in any fraudulent, abusive, manipulative, or unfair conduct in connection with any Event, including the use of multiple Accounts, bots, scripts, automation, false or misleading information, artificial activity, manipulation of results, use of another person’s identity or wallet, circumvention of technical restrictions, or any other conduct intended to obtain an unfair advantage or interfere with the proper operation of the Event.

The Company reserves the right to monitor, review, investigate, and assess suspicious, abusive, fraudulent, or non-compliant activity related to an Event and to take any measures reasonably necessary to protect the integrity, security, fairness, and lawful administration of the Event.

A Participant may be disqualified, excluded, restricted, suspended, or otherwise removed from an Event if the Company reasonably determines that such Participant:
violates these Promotional Event Rules, the Terms of Use, or any additional conditions of the relevant Event
engages in fraud, abuse, manipulation, or other prohibited conduct
provides false, inaccurate, incomplete, misleading, or outdated information
fails to satisfy any participation requirement, eligibility criterion, verification requirement, legal restriction, sanctions-related restriction, or compliance condition applicable to the relevant Event
uses technical or organizational means to circumvent the rules or controls of the Event
otherwise acts in a manner that may compromise the lawful, fair, secure, or proper conduct of the Event.

In the event of disqualification or other enforcement action, the Company may, to the extent reasonably necessary and permitted by applicable law, cancel or disregard the Participant’s entry, results, status, eligibility, prize entitlement, or any related outcome connected with the relevant Event.

The Participant acknowledges and agrees that the Company’s decision regarding the enforcement of these Promotional Event Rules, including review of suspicious activity, assessment of compliance, and disqualification from an Event, shall remain with the Company, provided that such decision is made reasonably and in accordance with applicable law.

The Company shall not be responsible for any inability of a Participant to take part in an Event or receive any result or prize due to circumstances attributable to the Participant, including incorrect data, incompatible wallet, failure to complete required actions within the Event period, failure to satisfy eligibility requirements, technical incompatibility on the Participant’s side, or violation of applicable law or these Promotional Event Rules.

GOVERNING LAW AND DISPUTE RESOLUTION

These Promotional Event Rules and any non-contractual obligations arising out of or in connection with them shall be governed by the laws of the Czech Republic, without regard to its conflict of laws principles.

If the User is a consumer, nothing in these Promotional Event Rules shall deprive the User of any mandatory consumer protection rights granted under the laws of the country in which the User has his or her habitual residence.

Any dispute, controversy, or claim arising out of or in connection with these Promotional Event Rules shall be subject to the jurisdiction of the competent courts as determined by applicable law.

TERM OF THE AGREEMENT

These Promotional Event Rules shall apply from the date of their publication and shall remain in effect for as long as they are published by the Company on the Site and, with respect to each particular Event, for the entire period of its conduct, administration, completion, suspension, cancellation, and any related verification, review, prize administration, compliance checks, or dispute resolution.

PROMOTIONAL EVENT RULES CHANGE

The Company may update, amend, or otherwise modify these Promotional Event Rules from time to time to reflect changes in the Events, business practices, technical functionality, security, or applicable law.

The Company will make the current version of the Promotional Event Rules available through the App and/or the Site, and will indicate the effective date (or publication date) of the updated version. Where the Company considers it reasonable, the Company may also provide additional notice through the Services interface.

The updated Promotional Event Rules apply from the effective date indicated by the Company. If the Participant continues to join or participate in an Event after the effective date of an updated version, this will be treated as the Participant’s acceptance of the updated Promotional Event Rules.

If the Participant does not agree with an updated version of the Promotional Event Rules, the Participant must stop participating in the relevant Event.

Any amendments to these Promotional Event Rules are valid only if published by the Company through the App and/or the Site in accordance with this section.
